CPC Ambassador Agreement


As a new CPC Ambassador (also referred to as Campus Rep or Group Leader), I understand and agree with College Party Cruise and Ignite Cruises, LLC (referred to as "CPC” or the “Company"), that our relationship will be governed by the terms of this Agreement as follows:

  1. Definition of this Agreement.

As an Ambassador, I understand I am responsible for the means and methods by which I make sales. I also understand that I must comply with the Company's policies. To the extent not reflected in this document, my agreement with CPC also requires me to employ integrity, honesty and responsibility in my behavior and actions with CPC, my customers and my fellow CPC Ambassadors, including and without limitation, presenting and promoting CPC trips in a truthful manner. All of the duties and obligations reflected in this document and the documents published by CPC constitute my agreement with CPC (referred to as "this Agreement").

 

  1. Independent Contractor Status.

I am entering this Agreement as an independent contractor and not an employee of CPC. I will be solely responsible for paying all expenses incurred by me, including but not limited to travel, food, lodging, office, telephone and other expenses. I will have and maintain control of the manner and means of my performance under this Agreement and will not be treated as an employee with respect to any services for federal or state tax purposes. I will be responsible for payment of all applicable income, self-employment and other taxes. I will not be eligible for and will not participate in any pension, or fringe benefit plan sponsored by CPC and will not be covered by its workers' compensation or unemployment insurance or retained coverage. I am not entering into a partnership or joint venture with CPC, nor will I have power or authority to incur any debt, obligation or liability on its behalf.

 

  1. Services to be Performed by Ambassador.

Ambassador will promote and sell CPC trips by getting their friends to book, advertising throughout campus, promoting online – taking advantage of social media, and any other creative means to inform potential customers.

 

  1. Compensation

Commission. CPC will pay Ambassador the Commission set forth below. Such commissions shall be the sole and complete compensation for the Ambassador’s performance hereunder.

  • The minimum number of referrals needed to earn a commission is 8 cabins.
  • You are guaranteed a minimum payout of $500 if you reach the minimum of 8 cabins. Free Cruise Fare Value is defined as the average value of the “per person” price of all cabins that have used Ambassador’s promo code. For example, if most referrals booked cabins at $600 per person, the Free Cruise Value would be $600. Cruise Fare Value does not include taxes/fees or gratuities.
  • The tiered commission structure is marginal: the increased commission at each tier is applied to only the marginal sales which lies within that tier. To calculate total commission, calculate the commission earned at each tier and then add these all up.
  • The commission payment is pursuant to the booking being paid in full and is not cancelled. Cancelled bookings will be deducted from Ambassador’s commissions. CPC cannot pay a commission to Ambassador for cancelled or unpaid bookings, or if the cruise is cancelled by Royal Caribbean.

 

Tracking referrals: Ambassador’s Promotional Code MUST be used at the time of booking in order to earn credit for each cabin. CPC cannot credit Ambassador for bookings that did not use their promo code at the time of booking.

Prohibited Use of Promo Code: You may not post your Promo Code in official College Party Cruise social media, on public coupon websites (i.e: retailmenot.com, coupons.com, etc...), or otherwise disseminate the code byway of unsolicited spam. Doing so will result in the deactivation of the code as well as your status as an Ambassador be terminated.

Refer-An-Ambassador Commission: As an existing Ambassador, you are eligible to earn a $250 referral bonus for referring another Ambassador that sells 8 cabins or more. The referral will also earn a $50 bonus, once they reach their minimum, for being referred by you. New Ambassador MUST indicate that they were referred by you by adding your name to their application to be eligible for this compensation.

Commission Payment: Commission payments are made approximately 30 days after the last CPC cruise sails. Ambassador must fill out and return the W-9 form sent by CPC before any commission payments can be made. If commissions total $600 or more, Ambassador will also receive a 1099-MISC at the end of the year for their taxes.

  1. Use of CPC Intellectual Property.

I acknowledge that, upon CPC’s acceptance of the Agreement, CPC has granted me a limited, non-exclusive license to use its trademarks, service marks, trade names, patents and copyrighted materials ("CPC Intellectual Property"), all of which is owned solely by CPC. Examples of CPC Intellectual Property include, but are not limited to, the CPC name and logo. I may use CPC Intellectual Property only (a) after obtaining written permission from CPC prior to use, or (b) where the CPC Intellectual Property appears on materials distributed by CPC for use by Ambassadors. I agree to use only written, recorded or other promotional or advertising materials that have been produced, distributed and approved in writing by CPC. All rights and licenses granted in or under this Agreement shall terminate automatically upon the termination of this Agreement.

 

  1. Site Downtime.

Each party acknowledges that the CPC website may be subject to temporary shutdowns from time to time for maintenance and/or due to causes beyond the operating party's reasonable control, and that neither party shall have any liability to the other by reason of any such shutdowns.

 

  1. Ownership

Ambassador agrees that CPC shall own all software coding (including source code), all technology owned or otherwise controlled by CPC, all design and materials and/or information created and/or delivered by CPC, and any and all rights, licenses or other permissions necessary to allow Ambassador to use the site under this Agreement.

 

  1. Ownership and Use of Confidential Information.

Ambassador acknowledges that CPC owns all customer information and data that Ambassador may create or compile, including but not limited to travel booking information, customer profile data, Ambassador lists, operating procedures, financial data and marketing materials (collectively, "Confidential Information"), and that all Confidential Information is confidential and that its disclosure could cause great harm to CPC. Ambassador will not use or disclose Confidential Information to any person except in strict accordance with this Agreement. Ambassador will not use Confidential Information to sell products or services other than CPC Products and services or in connection with any other business during the term of and after termination of this Agreement.

 

  1. Photo and Video Release.

Ambassador hereby gives CPC and its agents or assigns a non-exclusive license to use, for any purpose, photographs or videos submitted by Ambassador to CPC. CPC may use any photographs or videos taken of Ambassador at a CPC trip for any purpose. Ambassador hereby waives his/her right to inspect or approve the finished photographs or advertising copy or printed matter that may be used in conjunction therewith or to the eventual use that the photographs might be applied.

 

  1. Termination of this Agreement.

Termination without Cause. This Agreement is effective from the date of acceptance and will terminate after all College Party Cruise 2024 sailings take place. CPC may terminate the Ambassador Agreement with any Ambassador at any time and for any reason by notifying Ambassador in writing of our election to terminate.

 

With Cause. CPC may immediately terminate this Agreement without notice in the event of death, insolvency, assignment for the benefit of creditors, or misrepresentation in or breach of any provision of this Agreement, as herein defined. If you are terminated by the Company for cause, all commissions will be forfeited. CPC also reserves the right to reject any future re-applications by you.

 

  1. Entire Agreements: Amendment.

This Agreement supersedes all prior communications, understandings and agreements between the parties and contains the entire agreement between the parties relating to its subject matter. CPC may amend this Agreement without prior notice, at any time, effective upon publication or transmittal of such amendment in official company publications, literature or voice mail as applicable. In the event of any conflict between the terms of this Agreement or any other document and such amendment, the amendment shall control. 

 

  1. Indemnification/Offset.

Ambassador will indemnify and hold harmless CPC and its agents and assigns from and against any damages, claims or liabilities and expenses (including attorneys' fees) incident to Ambassador’s: (a) activities as an Ambassador including, without limitation, any unauthorized representations made by Ambassador; (b) breach of the terms of this Agreement; or (c) violation of or failure to comply with any applicable federal, state or local laws or regulations. 

 

  1. Cumulative Remedies/Waiver.

All rights, powers and remedies given to CPC are cumulative, not exclusive and in addition to any and all other rights and remedies provided by law. No failure or delay of CPC to exercise any power or right under this Agreement or to insist upon strict compliance by me with any obligation or provision shall constitute a waiver of CPC's right to demand exact compliance therewith. Waiver by CPC can be effective only in writing by an authorized officer of CPC.

 

  1. Other Terms.
    1. Ambassador has full legal capacity to enter into this Agreement in the state in which he/she resides. Ambassador agrees to comply with all laws, rules and regulations governing the conduct of his/her business.
    2. If any portion of this Agreement is judicially determined to be invalid, that invalidity will not affect the remaining portion of this Agreement.
    3. The headings in this Agreement are inserted for convenience only and are not part of the Agreement.
    4. All written notices required by this Agreement to be given will be deemed received if delivered to Ambassador’s most current email address on file with CPC.
    5. This Agreement is entered into and is to be performed in material part in the State of Florida and accordingly is subject to and will be construed under the substantive laws of the State of Florida. Rules governing conflicts of laws for all states do not apply.
    6. If traveling on CPC, Ambassador agrees to CPC’s Terms and Conditions of Travel and Royal Caribbean’s Cruise Ticket Contract.

 

By signing below and being an active CPC Ambassador, I acknowledge that I have read, understood, and agreed to the terms set forth in this Agreement.
